(the "Company"), the shareholders of the Company approved the proposal to amend the Company's 2000 Long-Term Incentive Plan to expressly authorize the Option Exchange Program (as defined in the definitive proxy statement on Schedule 14A filed by the Company with the Securities and Exchange Commission on November 29, 2004).
